REFERRAL PROGRAM

Terms and Conditions

These Terms and Conditions ("Terms") establish the agreement between Jubo Health Technologies Inc. ("Jubo") and any Referrer participating in the Jubo Champion Club ("Program"). These Terms apply to all eligible Jubo customers ("Referrers") who wish to join the Program and outline the rules for earning rewards by referring potential Jubo customers ("Prospects") to the company. Participation in the Program is optional.  

By participating in the Program, Referrers agree to these Terms, which take effect on the date their participation begins and remain in force throughout their involvement in the Program. 

1. Eligibility & Restrictions 

To join the Program, Referrers must meet the following criteria: (a) be at least 21 years old; (b) not be an employee of Jubo; and (c) not be restricted from participating due to applicable laws or contractual obligations with Jubo or any third party. Jubo reserves the right, at its sole discretion, to deny participation in the Program, restrict enrolment, or terminate involvement at any time.

Additionally, Jubo may disqualify any Prospect, Demo Customer (as defined below), or New Customer (as defined below) (collectively referred to as “Customers”) or Referrer for any reason from participating in the Program or earning rewards as set out in Section 3, including but not limited to engaging in fraudulent activities, attempting to exploit the Program, or violating these Terms. Jubo maintains full discretion in enforcing these rules to ensure the integrity of the Program. 

2. How the Program Works  

Referrers can join the Program by recommending Prospects to schedule a demonstration of Jubo’s products or services(“Demo”). To make a referral, Referrers must complete the dedicated form available on the Jubo website located at: https://www.jubohealth.com/referral-program.   

Once a referral form is submitted, Jubo will contact both the Referrer and the Prospect to initiate the qualification process. Jubo reserves the sole and exclusive right to:   

(a) determine a Prospect’s eligibility for a Demo or the possibility of entering into an agreement for Jubo’s products and services, and;   

(b) decide whether to schedule a Demo or finalize agreements with Customers under terms deemed appropriate by Jubo.  

3. Rewards 

Referrers can earn rewards for successful referrals:

  • $100* Amazon Gift Card: For every Prospect Jubo schedules for a demo and who attends the demo (“Demo Prospect”).  
  • $500* Amazon Gift Card: For each Demo Prospect who:

(a) Signs an agreement with Jubo for Jubo products or services on terms approved by Jubo, and;

(b) Completes their first payment for Jubo products or services, officially becoming a “New Customer.” 

Clarification: (i) A Referrer can earn a maximum Program reward of $600* for each eligible Prospect; (ii) Prospects who have engaged in business dealings or communications with Jubo within 12 months prior to their referral through the Program will not qualify as a Demo Prospect or New Customer. 

*Gift cards will be issued in the currency of the Referrer’s business address: CAD for Canadian addresses and USD for U.S. addresses.  

4. Distribution of Rewards   

Referrers eligible for rewards under the Program shall receive their applicable Amazon gift card code via email. For Demo Prospects, Amazon gift card codes will be sent to Referrer within 15 business days after the date a Demo Prospect completes their Demo. For New Customers, Amazon gift card codes will be sent to Referrer via business email within 15 business days after Jubo receives New Customer’s first payment for the applicable Jubo products and services. The Amazon gift card value is non-transferable and cannot be redeemed for cash or any other form of credit.  

5. Expectation of Rewards  

The Referrer acknowledges that participation in the Program does not create any expectation of rewards. Jubo will not be held responsible for providing compensation, reimbursement, or damages for any anticipated rewards, nor for any expenses or commitments made by the Referrer in relation to the Program. 

6. Trademark Usage 

All trademarks, logos, service marks, and trade names used to market Jubo's products and services ("Marks") are the exclusive property of Jubo and its licensors. While participating in the Program, Referrer is granted a limited, non-transferable, non-exclusive, non sub-licensable, and revocable license to use the Marks solely for the purpose of promoting Jubo’s products and services to Customers in connection with the Program. This license will automatically terminate upon the conclusion of these Terms.

7. Warranties 

The Referrer represents and warrants the following:  

(a) It meets the eligibility criteria outlined in Section 1. 

(b) The Referrer is the actual sender of referral messages and that they are subject to, and must comply with, all applicable laws including Canada’s Anti-Spam Legislation (CASL) and The Controlling the Assault of Non-Solicited Pornography and Marketing Act (CAN-SPAM). 

(c) It will fulfill all obligations under its existing agreements with Jubo while participating in the Program.  

(d) The Prospect information provided to Jubo is accurate, and all necessary consents have been obtained to allow Jubo to collect, use, and retain such information, including personal information, if any, for administering the Program, including contacting Prospects as outlined in the Program.  

(e) The Referrer will not make any offers, acceptances, representations, or warranties on behalf of Jubo regarding its products or services, and Jubo will not be bound by any such actions. For the avoidance of doubt, the Referrer shall have no authority, either express or implied, to enter into any contract that may bind Jubo.  

(f) The Referrer will make all referrals in a professional manner which will not subject Jubo to disrepute, contempt, scandal, ridicule, or which insults or offends public morals or decency.  

(g) The Referrer has not, and will not, make any payments to Customers or third parties to secure Program rewards or influence a Customer's decision to use Jubo's products or services.  

(h) The Referrer will make reasonable efforts to ensure that any Prospects referred to Jubo are genuinely interested in establishing a business relationship with Jubo.  

(i) The Referrer will comply with all applicable laws while participating in the Program and adhere to any applicable guidelines or documents provided by Jubo regarding the use of Marks. 

JUBO DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED BY STATUTE OR COMMON LAW, INCLUDING WITHOUT LIMITATION AS TO PRODUCTS OR SERVICES OFFERED THROUGH THE USE OF THE REFERRAL PROGRAM, IMPLIED PROMISES OF MERCHANTABILITY, SATISFACTORY QUALITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT; (B) JUBO MAKES AND GIVES NO PROMISE THAT (i) THE PROGRAM WILL MEET THE REFERRER OR THE CUSTOMERS REQUIREMENTS, (ii) BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, (iii) THE RESULTS OBTAINED FROM THE USE OF THE REFERRAL PROGRAM WILL BE ACCURATE OR RELIABLE, (iv) THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL OBTAINED BY YOU THROUGH THE PROGRAM WILL MEET YOUR EXPECTATIONS, AND (v) ANY ERRORS IN THE SERVICE WILL BE CORRECTED. 

8. Indemnity; Limitation of Liability 

The Referrer agrees to indemnify, defend, and hold Jubo harmless from any and all claims, including third-party claims, actions, suits, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) that may arise, directly or indirectly, as a result of: (a) the Referrer’s breach of the representations and warranties outlined in Section 7; (b) any misuse, unauthorized use, or infringement of the Marks; and (c) the Referrer’s gross negligence or willful misconduct while participating in the Program.  

Furthermore, Jubo shall not be held responsible for any indirect, incidental, special, or consequential damages, including but not limited to lost profits, whether arising from contract, tort (including negligence), or any other basis, related to these Terms or the Program.‍ 

9. Changes to Program 

Jubo reserves the right to modify these Terms or discontinue the Program at any time and at its sole discretion. For any significant changes to the Terms, Jubo will provide at least thirty (30) days’ advance notice via its website or email before the changes take effect. These updates will become effective thirty (30) days after the notice is issued. Notice by email will be deemed to have been issued immediately upon being sent. By accepting the revised Terms or continuing to participate in the Program after the changes are implemented, you agree to the updated Terms. 

 10. General

These terms represent the complete agreement between the parties regarding the subject matter and replace all previous agreements or understandings related to it. Any amendment must be in writing and executed by both parties. In the event of a conflict between these Terms and any promotional material or communication regarding the Program, these Terms shall prevail, except where otherwise stated. 

The Referrer is neither an agent nor an employee of Jubo and is not authorized to make representations or warranties on Jubo’s behalf. Both the Referrer and Jubo act as independent contractors, and the use of the term "Referrer" reflects the cooperative spirit of the relationship between the parties. It does not establish or imply a legal partnership or joint venture.  

Failure to enforce any provision will not constitute a waiver. If any provision of these Terms is deemed invalid by law, regulation, or a final court ruling, the remaining provisions shall remain fully enforceable and unaffected. These Terms are governed by the laws of the Province of Alberta, Canada, without regard to conflict of law principles. Any disputes arising under these Terms will be resolved exclusively in the courts of Calgary, Alberta, Canada.  

The provisions outlined in Sections 1, 4, 5, 7, 8, and 10 will survive the termination of these Terms.
